Unless otherwise specified, invoices are issued per the payment schedule, payment is due within thirty calendar days of the invoice date, overdue payments shall accrue interest at one and one-half percent per month on the outstanding balance, all fees are exclusive of applicable taxes which are the client's responsibility, and we reserve the right to suspend or terminate services if payment is not received within the specified timeframe after reasonable written notice.
During our professional engagement, each party may have access to confidential and proprietary information belonging to the other. Each party agrees to hold the other's Confidential Information in the strictest confidence, to use it exclusively for the purposes of the engagement, and to disclose it only to those with a genuine need to know who are bound by written confidentiality obligations. These obligations shall survive termination for five years, or indefinitely with respect to trade secrets.
To the fullest extent permitted by applicable law, WCJ Construct and Construction Wcj Inc., including their respective officers, directors, shareholders, employees, agents, contractors, successors, and assigns, shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or reliance damages of any kind whatsoever, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, business interruption, cost of substitute services, or loss of goodwill, arising out of or in any way connected with these Terms of Service, the use of our website, or the provision of our professional services, regardless of legal theory, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any and all claims shall not exceed the total amount of fees actually paid by you to WCJ Construct for the specific services giving rise to the claim during the twelve-month period immediately preceding the event that gave rise to the claim.
You agree to defend, indemnify, and hold harmless WCJ Construct, Construction Wcj Inc., and their respective officers, directors, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to your violation of these Terms, your use of our website or services, your violation of any law or third-party right, or your negligent or wrongful conduct.
The content on our website is provided on an as is and as available basis without warranties of any kind. These Terms shall be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Disputes shall first be resolved through good-faith negotiation, then mediation in Gatineau, Quebec, and finally binding arbitration in accordance with Quebec law. To the fullest extent permitted by law, you agree that proceedings shall be conducted on an individual basis and not as a class action.
Neither party shall be liable for failure or delay in performance caused by circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, epidemic, labor strikes, governmental action, utility failures, or cyber attacks.
These Terms, together with our Privacy Policy and any applicable service agreement, constitute the complete agreement between you and WCJ Construct. If any provision is held invalid, the remaining provisions shall continue in full force. No waiver shall be implied from failure to exercise any right. You may not assign your rights without our prior written consent. Nothing in these terms creates a partnership, joint venture, or agency relationship.
